Agreement to Terms

Acceptance of Services

All services are subject to availability and acceptance by Evvivdilan. We reserve the right to refuse service to any client at our sole discretion. Service agreements will be formalized through separate written contracts for each engagement.

User Responsibilities

As a user of our services, you agree to:

• Maintain the confidentiality of any access credentials
• Comply with all applicable laws and regulations
• Not use our services for illegal or unauthorized purposes

Payment Terms

• Payment terms are typically 30 days from invoice date
• Late payment may incur additional charges
• All fees are exclusive of GST unless otherwise stated
• Disputed amounts must be raised within 30 days of invoice

Client Intellectual Property

Clients retain ownership of their data and pre-existing intellectual property. Custom developments may be subject to specific ownership terms as outlined in individual service agreements.

We are committed to protecting client confidentiality. Both parties agree to:

• Maintain strict confidentiality of proprietary information
• Use confidential information only for authorized purposes
• Implement appropriate security measures
• Return or destroy confidential information upon request

Limitations of Liability

To the maximum extent permitted by law:

• Our total liability is limited to the fees paid for the specific service
• We are not liable for indirect, consequential, or punitive damages
• We do not guarantee specific business outcomes or results
• Clients are responsible for backup and security of their data

Service Availability

While we strive for maximum uptime, we do not guarantee uninterrupted service availability. We may temporarily suspend services for:

• Scheduled maintenance and updates
• Emergency repairs or security issues
• Force majeure events beyond our control

Data Protection and Privacy

We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws. By using our services, you consent to the collection and use of information as outlined in our Privacy Policy.

Termination

Either party may terminate services:

• With 30 days written notice for ongoing services
• Immediately for material breach of terms
• Immediately if payment becomes overdue by more than 60 days

Upon termination, all outstanding fees become immediately due and payable.

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law or other applicable consumer protection legislation that cannot be excluded, restricted, or modified by agreement.

Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Western Australia.

Force Majeure

Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, or infrastructure failures.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Evvivdilan regarding the use of our services.
